Terms and Conditions for Businesswala Inc

Welcome to Businesswala Inc. These Terms and Conditions govern your use of our website (www.thebusinesswala.in) and the web development, digital marketing, branding, and related services we provide. By accessing our website or engaging our services, you agree to be bound by these terms.

1. Services Provided
Businesswala Inc provides digital services including, but not limited to, website design and development, e-commerce solutions, search engine optimization (SEO), social media marketing, content creation, branding, and package design. The specific scope of work, deliverables, timelines, and costs will be outlined in a separate formal proposal, quotation, or contract provided to the client prior to the commencement of work.
2. Client Responsibilities
To ensure the timely and successful delivery of our services, the client agrees to:
- Provide clear guidelines, requirements, and prompt feedback.
- Supply all necessary text, images, logos, and credentials (e.g., hosting, social media accounts) required for the project.
- Review and approve deliverables within the agreed-upon timeframes. Delays in client feedback may result in project timeline extensions.
3. Payment Terms
- Deposits: A non-refundable upfront deposit (typically 50%, unless otherwise stated in the proposal) is required before any work begins.
- Invoicing: Remaining balances are invoiced upon project milestones or completion, prior to the final handover or launch.
- Late Payments: Businesswala Inc reserves the right to pause project work or suspend live services (such as hosting or ad campaigns) if payments are not received by the due date.
- Refunds: Due to the custom nature of digital services, all payments made are non-refundable once work has commenced.
4. Intellectual Property Rights
Upon final and full payment, the client will own the rights to the final deliverables (e.g., custom website design, finalized logo, ad graphics). However, Businesswala Inc retains the following rights:
- Ownership of any pre-existing code, libraries, templates, or third-party tools used to build the project.
- The right to display the completed project, designs, and marketing results in our portfolio, website, and marketing materials for promotional purposes.
5. Revisions and Approvals
Our proposals include a specific number of revision rounds. Any additional revisions, feature requests, or scope changes requested by the client beyond the agreed proposal will be subject to additional billing at our standard hourly rate.
6. Limitation of Liability
Businesswala Inc strives to deliver high-quality, error-free work. However, we cannot guarantee that our software or marketing campaigns will be completely uninterrupted or entirely error-free.
- We are not liable for any loss of revenue, data, or profits resulting from website downtime, third-party software failures (e.g., plugin updates, hosting crashes), or changes in search engine algorithms (e.g., Google updates).
- In no event shall Businesswala Inc's total liability exceed the total amount paid by the client for the specific service in question.
7. Maintenance and Support
Unless an ongoing Annual Maintenance Contract (AMC) or retainer agreement is signed, Businesswala Inc is not responsible for updating, backing up, or maintaining a website or marketing campaign after it has been officially launched and handed over to the client.
8. Termination of Services
Either party may terminate the project with written notice. In the event of cancellation by the client, Businesswala Inc will retain the initial deposit and invoice the client for any work completed up to the date of cancellation. We reserve the right to terminate services if a client exhibits abusive behavior or fails to fulfill payment obligations.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Agra, Uttar Pradesh.
10. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated "Effective Date." Continued use of our services after any such changes shall constitute your consent to such changes.
